Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("Customer") and EasyPPAP LLC, an Ohio limited liability company ("EasyPPAP", "we", "us"). By creating an account, accessing the Service, or clicking "I agree", you accept these Terms. If you do not accept, do not use the Service.

1. Definitions

"Service" means the EasyPPAP web application available at easyppap.com and any related APIs or features.

"PPAP Material" means files, documents, or data uploaded by Customer for analysis, including Production Part Approval Process documentation under AIAG standards.

"Output" means the analysis report, findings, scoring, recommendations, and any other content generated by the Service.

"Credit" means the unit of consumption that entitles Customer to one analysis run.

"Account" means Customer's unique registered access to the Service.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract. The Service is intended for business use by automotive supplier quality professionals and similar B2B users.

3. Account Registration and Security

You must provide accurate information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activity under your Account. Notify us promptly at admin@easyppap.com of any suspected unauthorized access.

We may suspend or terminate Accounts that we reasonably believe are being used in violation of these Terms or that present a security risk.

4. Use of the Service

4.1 License grant

Subject to your compliance with these Terms and payment of applicable fees, EasyPPAP grants you a non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your internal business purposes.

4.2 Restrictions

You may not:

• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to develop a competing product or to benchmark against EasyPPAP for competitive purposes
• Resell, rent, lease, or sublicense access to the Service without our prior written consent
• Use the Service to transmit malware, infringing content, or content that violates law
• Attempt to circumvent rate limits, billing controls, or access controls
• Upload PPAP Material that you do not have the right to upload

4.3 Customer responsibility for content

You retain all rights in PPAP Material that you upload. You represent that you own the PPAP Material or have obtained all necessary rights, licenses, and permissions to upload it.

4.4 Output ownership

EasyPPAP assigns to Customer all rights in the Output generated for Customer's PPAP Material, subject to EasyPPAP's underlying rights in the Service, models, prompts, and infrastructure used to generate the Output.

4.5 Fair use and operational limits

To keep the Service stable and available for all customers, the following operational limits apply and are enforced automatically:

• Up to ten (10) analyses may be started per hour per Account. The counter resets at the top of each hour. Hitting this limit does not consume Credits.
• Each analysis accepts up to thirty (30) files and a combined upload size of twenty (20) MB, roughly one hundred (100) PDF pages. Larger packages must be split into separate analyses.
• Accepted file types are PDF, PNG, JPG and Excel (.xlsx). Excel workbooks are read as extracted data (cells and drawn markers); pictures embedded inside workbooks are not read. Other types — including Word and legacy .xls — may be rejected or skipped during the scan, and any file that could not be read is listed on the review screen.

EasyPPAP may adjust these limits to protect the Service; the limits in effect are the ones shown and enforced in-app at the time of use. Attempting to circumvent them is a violation of Section 4.2.

5. Credits, Billing, and Refunds

5.1 Credit-based pricing

The Service is sold on a pay-per-credit basis. One Credit entitles Customer to one analysis run. Pricing tiers are listed at easyppap.com/pricing. EasyPPAP may change pricing at any time; changes apply to Credits purchased after the change.

5.2 Credit expiration

Purchased Credits expire twelve (12) months after the date of purchase. Free or promotional Credits (including the signup credit) expire fifteen (15) days after they are granted. If the Account is closed or terminated, unused Credits are forfeited except as required by Section 5.4.

5.3 Technical-failure refunds

If an analysis fails for technical reasons attributable to EasyPPAP, the consumed Credit is automatically refunded to Customer's balance.

5.4 14-day proration refund window

For Credits purchased and not yet consumed, Customer may request a refund within fourteen (14) days of purchase by emailing admin@easyppap.com. The refund is calculated as the full purchase price minus the value of any Credits already consumed.

5.5 Taxes

Prices are exclusive of applicable taxes. Stripe Tax calculates and collects applicable taxes at checkout based on Customer's billing address.

6. AI-Generated Output and Human Review Requirement

The Service uses generative AI (large language models, including models from Anthropic) to analyze PPAP Material and produce Output. Customer acknowledges:

• AI-generated Output is probabilistic and may contain errors, omissions, or "hallucinations"
• The Output is an analytical aid, not a substitute for professional judgment of a qualified Supplier Quality Engineer or equivalent reviewer
• Customer is solely responsible for verifying the Output before relying on it for any decision
• EasyPPAP makes no representation that the Output meets the requirements of any specific OEM or industry standard
• The Output is a documentary review (presence, formal completeness and cross-document consistency, with stated values read as written) and does not verify measurements, recalculate statistics, assess engineering adequacy or confirm facts against external systems, as described in Section 3.1 of the AI Disclaimer and in the Coverage sheet of each report

7. Confidentiality

EasyPPAP treats PPAP Material as Customer's confidential information. EasyPPAP will not (i) disclose PPAP Material to third parties except to the sub-processors listed in the Privacy Policy as necessary to provide the Service, (ii) use PPAP Material to train AI models, or (iii) retain PPAP Material beyond the retention windows described in Section 8.

8. Data Retention and Deletion

• PPAP Material (input): deleted from EasyPPAP's storage no later than sixty (60) seconds after the analysis pipeline completes
• Output (analysis report): retained for fifteen (15) days from generation, then automatically deleted
• Account metadata: retained as long as the Account is active; deleted under the procedure in Section 8.2 after Account closure

9. Term and Termination

These Terms remain in effect from Account creation until the Account is closed or terminated. Customer may terminate the Account at any time without cause via the Service UI. EasyPPAP may suspend or terminate the Account immediately upon written notice if Customer materially breaches these Terms.

10. Warranties and Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICE AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASYPPAP'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS PAID BY CUSTOMER TO EASYPPAP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD 100).

IN NO EVENT WILL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Ohio, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Ohio, USA.

13. General Provisions

These Terms, together with the Privacy Policy, DPA (where applicable), and AI Disclaimer, are the entire agreement between the parties about the Service. EasyPPAP may modify these Terms by posting the updated version and notifying Account holders by email at least fifteen (15) days before the change takes effect for material changes.
